    INTERNAL REGULATIONS

    OF THE COMMERCIAL CENTRE “PARADISE CENTRE”

     

     

    These Internal Regulations set the rules of conduct that are mandatory for all persons who reside or carry out commercial activities on the territory of the Commercial Centre, including Lessees and their employees and workers, visitors, employees and workers of suppliers, contractors, etc.

     

     

    DEFINITIONS:

     

    “CENTER MANAGER” represents each natural person or entity nominated from time to time by the Lessor or determined, at its discretion, to manage, decide, coordinate and control the general management and administration of the Commercial Center (incl but not limited to all activities related to the maintenance of the Commercial Center such as cleaning, security, etc., as well as the control with respect to the activities of the lessees of the Commercial Center);

     

    ARTICLE 1

    OPENING HOURS OF THE COMMERCIAL CENTRE

    Access

    1.1.1. Visitor access is ensured through the designated pedestrian entrances, through the Vitosha metro station and through the underground car park.

     

    1.1.2. The Commercial Center is accessible to visitors using wheelchairs - from the pedestrian entrances at the intersection of Todor Kableshkov Blvd. and Cherni Vrah Blvd. ("South" entrance) and on Todor Kableshkov Blvd. ("VIP" entrance) from the metro station "Vitosha", as well as from both levels of the underground parking - by means of the elevators. On each level of the underground car park, near the entrances to the shopping centre, there are designated parking spaces for disabled people, marked with road sign D21. The Commercial Center has toilets for visitors with mobility disabilities - located on levels -1, ground floor, +1 and +2. The use of these toilets by other visitors is not recommended.

    1.1.3. Visitors who are known to have violated these Internal Regulations more than once are not allowed in the Commercial Center.

    Working time

    1.2. The Commercial Centre shall be open to the public on all days during the entire year without interruption, from 10.00 – 22.00 (the “Opening Hours”), unless the Commercial Centre must be mandatory closed on certain days in the year under the applicable law. In case of special working hours (for example during the Christmas and New Year holidays), the same will be announced additionally by the Lessor. The Opening Hours of the cinema and bowling operator, the restaurants and other specific Lessees may differentiate from the above general Opening Hours of the Commercial Centre and will be agreed between the Lessor and the respective Lessee in the Lease Agreement. Any Commercial Facility operating outside of the Opening Hours of the Commercial Centre, upon the request of the Lessor, shall bear exclusively all the expenses resulting from this. The allocation of all related expenses as well as the conditions of operation,ecurety and insurance of the Commercial Centre during the special utilization time of the Leased Premises shall be determined by the Center Manager..

     

    1.3. Partial closures (e.g. for lunch breaks, closed days, shop holidays, stock taking) even temporarily, save for cases for force majeure or after the explicit consent of the Center Manager.

     

    1.4. Vehicle parking may open up to three hours before the beginning of the operation of the Commercial Centre and terminate their operation up to three hours after the termination of the operation of the Commercial Centre and in any event at least thirty minutes after the termination of the last evening cinema show. The Lessor may, at his discretion, change the opening and closing hours of the parking.

     

    1.5. The presence of any person within the Commercial Centre beyond its full closing time is expressly forbidden, unless authorised by the Center Manager and strictly under the terms of such authorisation.

     

    1.6. After 8:00 p.m., visitors under the age of 14 who are not accompanied by a parent/guardian or an adult companion authorized by a written power of attorney from the parent/guardian are not allowed in the Commercial Center. Visitors under the age of 14 who are not accompanied by any of the above must leave the Commercial Center by 8:00 p.m.

     

    1.7. After 10:00 p.m., visitors under the age of 18 who are not accompanied by a parent/guardian or an adult companion authorized by a written power of attorney from the parent/guardian are not allowed in the Commercial Center. Visitors under the age of 18 who are not accompanied by any of the above must leave the Commercial Center by 10ло:00 p.m.

     

    ARTICLE 2
    ARRIVAL TIME OF EMPLOYEES

     

    2.1. The employees working in the Leased Premises operating in the Commercial Centre may arrive at any time up to three hours before the commencement of its operation and must leave within two hours after the termination of its operation. Any deviation from the present Internal Regulations shall be approved in advance by the Center Manager in order to inform the security guards of the Commercial Centre.

     

    2.2. For security purposes and controlling of the access of people to the Commercial Centre before the commencement of its operation and after the termination thereof, access for employees working in the sites in the Commercial Centre takes place through the entrances of the Commercial Centre designated for this purpose in advance..

     

    2.3. The employees of the Leased Premises operating in the Commercial Centre must be dressed in compliance with the corporate policy of the respective Lessees but in any case, their clothing should not be deviating from the usually accepted for similar Leased Premises Commercial Centres. The Center Manager and following his instructions the security guards may not allow the entrance at any member of the personnel, whose clothing may be considered inappropriate and/or not complying with the provisions of the present Internal Regulations.

     

    ARTICLE 3

    APPEARANCE OF THE PREMISES AND THE COMMERCIAL CENTRE

     

    3.1. The Shop windows of the Leased Premises should be appropriately lit during the Opening Hours of the Commercial Centre or during its opening hours outside of the Opening Hours of the Commercial Centre if a shop operates pursuant to these rules outside of the Opening Hours and in case of other occasions (Inauguration of the Commercial Centre, advertising and marketing events, etc) for which the Lessees shall be informed in due course.

     

    3.2. The Commercial Centre shall be appropriately illuminated during the Opening Hours. When the Commercial Centre is closed a minimum level of lighting shall be maintained. The intensity of the lighting shall be in compliance with the regulations for energy effectiveness.

     

    3.3. The Lessees are not permitted to use winking signs or lighting fixtures on the Premises’ façade, except with the prior written consent of the Center Manager.

     

    3.4. The installation of advertising signs, logos and billboards on the façade of the Commercial Centre may be performed by the Lessee only upon advance coordination, permission and approval by the Lessor of the dimensions of the sign, the materials to be used in its manufacturing, its exact location and the project on the electricity and constructive part, prepared by a certified designer. The Lessor is entitled to allow the placement of signage at its sole discretion, whereby the payment of additional rent by the Lessee for the placement of the signs shall be subject to an explicit stipulation between the respective Lessee and the Lessor in the Lease Agreement. Any costs related to the installation, maintenance and dismantling of the respective signs shall be borne by the Lessees.

     

    3.5. Advertising signage, materials and signs or any other advertising materials shall be fitted on the display windows of the Leased Premises or on the interior thereof. The advertising signage, materials and signs and other advertising materials and their design shall be approved by the Center Manager, in order to preserve the architectural uniformity of the building.

     

    3.6. Signboards bearing the trade names, trademarks or distinctive titles of all Lessees, operating in the Commercial Centre, may be fitted on a prominent place on the Commercial Centre’s floors. 

     

    3.7. The window displays shall be furnished in such a fashion, so as to give the Leased Premises an attractive appearance. Irrespective of the type of furnishing, the window displays must allow the free visibility to the interior of the stores for the public. Special information (of a non advertising nature) concerning each Commercial Facility, its name, nature of the store, UIC, VAT, telephone, opening hours etc may be attached to the window display, following previous approval of the Center Manager.

     

    3.8. For the avoidance of doubt, arrangements for the installation in the Common Areas of the Commercial Centre (i.e., in the Common Areas and Parts) by any Lessee of all types of advertising equipment, including luminous lettering, light boxes, directories, signage, electric signs, corporate logos, displays, poster pillars, pictures, flagpoles, antennas, signboards, showcases, promotional and publicity banners and other advertising installations other than as provided for in these Internal Regulations shall be prohibited. Exceptions could be authorised by the Lessor at the sole discretion of the Center Manager in writing against payment of additional rent by the Lessee.

     

    3.9. There are forbidden putting/installation of vending machines in the Leased Premises and common areas and parts – machines for coffee and hot drinks, packed foods, breakfasts and soft drinks, except with the express written permission of the Center Manager.

     

    ARTICLE 4
    CLEANING AND MAINTENANCE

     

    4.1. The Lessees must maintain the installations of their respective Leased Premises in a perfect state of operation and, with regard to the cleaning, sanitation and maintenance of the installations, infrastructure and equipment thereof. The Lessees must maintain, supervise, repair (and take care of the coverage of the relevant expenses and to maintain all insurances envisaged in the signed Lease Agreement) all the relevant equipment, infrastructure, pipes, wiring, installations (including the installations and pipes used for air ventilation, water, electricity, sewage, drainage, heating, air conditioning etc.), which serve exclusively their Leased Premises. With regard to their maintenance obligations the Lessees should fully comply with the provisions and the rules of the legislation in force, including those relating to the checking of the fire prevention installations, of the electrical equipment – including tightening of electrical connections and thermal imaging of electrical panels once a year As well as checking of the internal air conditioning and ventilation systems, which are subject to full maintenance twice a year and cleaning of filters – four times a year.

     

    4.2. Regular cleaning work of the Leased Premises shall take place outside the Opening Hours of the Commercial Centre, so that the flow of customers thereto is not impeded. Such cleaning works shall end at least 30 (thirty) minutes before the opening of the Commercial Centre or start their cleaning at the closing of the Commercial Centre.

     

    4.3. When undertaking cleaning work the Center Manager and the Lessees or their contractors shall not use materials that have unpleasant smells or that are inflammable or may provoke the obstruction of pipings. In the event that the conditions referred to in articles 4.2 and 4.3 are not met, the Center Manager shall be entitled to interrupt the cleaning works.

     

    4.4. In the event that the Lessees do not comply with any of the obligations contained in this article 4, the Center Manager is entitled to carry out the relevant works using a contractor of its own choice at the expense and risk of the relevant Lessee.

     

    4.5. Any Lessee who wishes to undertake maintenance, repair or redecoration works in its respective Leased Premises (as the case may be) should also notify the Center Manager of the intended works, their duration and method of implementation and agree with the Center Manager the best possible method and timing of such works so that the disturbance to the operation of the Commercial Centre is minimised in all aspects. Such works will not be implemented without the Center Manager giving his consent on such method and timing. The need to obtain such consent shall not exempt the relevant Lessees from their obligations otherwise deriving from these Internal Regulations or their Lease Аgreement.

     

    4.6. The Lessee is obliged to maintain through functioning air-conditioning equipment in Leased Premises a constant temperature of 20 to 24 degrees.

     

    4.7. In the event that the Lessee intentionally pollutes the Common Areas and Parts with his actions, the same must be immediately returned to their original form by the Lessee at his expense.

     

    ARTICLE 5
    REPAIRS AND RENOVATIONS

     

    5.1. The Lessees shall not execute in their respective Leased Premises works which may influence either the cold shell of the building, (as for example opening of main walls, floors or separating walls between two adjoining areas), or the heating and cooling systems and installations, or the common supply networks, or the window displays, the windows, the signs and the internal lay-outs which are visible from the external area of the Leased Premises, or which affect the safety of the public, without the previous express  and written consent of the Center Manager. All and any repair activities are carried out in full accordance with the signed Lease Agreement, as well as the procedure described in these rules. With a view to obtaining such consent the Lessee should provide the Center Manager with (a) an adequate insurance covering all liabilities for risks arising from the works intended to be carried out; (b) all necessary permits to carry out the works, c) the necessary designs and d) time schedule for performance of the works, in which the Opening Hours of the Commercial Centre has been taken into account (i.e., the works should, save for extraordinary occasions, be executed outside the Opening Hours and in a manner so as to cause minimum disturbance to the operation of the Centre). The Center Manager shall notify the Lessee for its position within a reasonable term, not later than 21 business days, being entitled to withhold its consent if the contemplated works will cause risks for the stability or the safety of the building or are incompatible with the concept or the image of the Commercial Centre. If the Center Manager does not announce its position in the abovementioned term, this will be considered a tacit refusal.

     

    5.2. The works must under no circumstances cause any hindrance in the corridors which must remain completely clean.

     

    5.3. If the Center Manager grants its consent for performance of the works, it may decide to give binding instructions regarding the working hours for these works and the measures that should be undertaken during their performance with respect to avoidance of disturbance in the normal operation of the Commercial Centre. Extra costs (cleaning, security, electricity, water etc) arising due to such works taking place outside the Opening Hours shall be borne by the Lessees undertaking such works, as applicable.

     

    5.4. The Lessees shall take all necessary measures, or shall ensure that they are taken, at their own cost and responsibility, for the facilitation of the any repair, maintenance, renovation or upgrading works undertaken by the Center Manager or the Lessor; they shall in particular evacuate their respective Leased Premises or provide enough free space so that the execution of the works may be carried out.

     

    ARTICLE 6
    LOADING AND UNLOADING OF GOODS

     

    6.1. The supply of the Leased Premises shall take place on the days the Commercial Centre is open and along routes assigned by the Center Manager and exclusively in the loading and unloading yards provided for this purpose.  These loading and unloading yards operate 7 days a week during the period between 22:00 and 09:30, unless the Center Manager approved specifically another timing with respect to an individual Lessee.

     

    6.2. Delivery, unloading and transportation of goods through the passages of the Commercial Center are allowed only outside the working hours of the Commercial Center.

     

    6.3. The delivery, loading or unloading of goods outside the designated loading and unloading zones is forbidden and since parking lots, elevators, escalators, entrance ramps are exclusively intended for customers, only goods elevators may be used for supplying of the Leased Premises. It is strictly forbidden to carry goods and heavy or cumbersome objects by escalators or travellators.

     

    6.4. All goods, empty trolleys, containers etc received by or belonging to Lessees must immediately be stored in the Leased Premises to which they relate and not to be left in the Common Areas and Parts. All devices and equipment used in the Common Utility Areas of the Commercial Centre for the transport of goods should be kept always in a good condition in order not to harm the floor tiles/coating or the elevators.

     

    6.5. The parking of supply vehicles inside the loading area is permitted for a period not longer than 20 minutes and after mandatory identification at the front barrier. Parking for period of more than 20 minutes is not permitted under any circumstances. The rules for the parking shall be regulated additionally by the Center Manager according to the needs of the stores and the common interest of the good operation of the Commercial Centre. Parking for purposes different than the loading and unloading of goods under this art. 6 shall be prohibited.

     

    6.6. The access of persons, delivering food supplies will be regulated by the Center Manager in compliance with the common interest and in a way that does not interfere the main activity of the Lessees and the customers of the Commercial Centre. Lessees have an obligation to ensure that persons who deliver food from food establishments and units located on the territory of the Commercial Center use only the freight elevators (i.e., the use of passenger elevators is prohibited).

     

    6.7. Activities connected with the transportation of goods of moving in and moving out must not obstruct the entry to the Common Areas and Parts of the Commercial Centre or block corridors, emergency exits and security corridors. If goods, vehicles, devices and equipment impede in any way whatsoever any passage in the Commercial Centre, the Center Manager has the right to remove them/it at the expense and risk of the respective Lessee, and also apply the penalties detailed in Art. 17 below. The Center Manager and/or the security personnel are entitled to ask for the assistance in order to remove any parked vehicles from the security exits, the security corridors and the ascension and regression ramps, whereby the expenses related to the removal of the vehicle is entirely on the account of the wrongdoers. 

    6.8. The Lessees should keep the delivery yards and supply corridors clean when using them. In the event that the above areas require cleaning and the identity of the persons who caused the problem cannot be ascertained, this task shall be undertaken by the cleaning services of the Commercial Centre and the Center Manager shall include the relevant expenses in the Commercial Centre’s Service Charge.

    ARTICLE 7

    USE OF TROLLEYS

     

    7.1. The Lessor may agree with certain Lessees (operators of super and hypermarkets, bio food markets, etc.) the provision of certain designated areas in the Common Areas and Parts, allocated for the storage of the trolleys for their stores. The trolleys shall be used exclusively for the carriage of purchased goods. Any other use thereof is strictly forbidden, incl. the use of the trolleys by the Lessees, their employees or visitors to the Shopping Center for carrying luggage, goods, trash of any kind etc. is strictly prohibited.

     

     

    ARTICLE 8
    ENVIRONMENTAL

     

    8.1. Noise

    8.1.1. Loudspeakers, musical equipment, megaphones, radio sets, TV sets or other sound carrying instruments may only be used within the Leased Premises provided that the sound is not exceed the legally permissible limit values for the noise level for public units uses, and in any case is not exceed 60 dB  and is not audible from the exterior of such Leased Premises. Music could be played in the Leased Premises in strict compliance with the provisions of the Bulgarian Copyright and Neighboring Rights legislation.

     

     

    8.1.2. The Center Manager may at his absolute discretion play background music in the Common Areas and Parts of the Commercial Centre during the hours which shall be determined by him.

     

    8.1.3. Electrical equipment in the Leased Premises shall be supplied with static-free systems and shall not cause interference with any other electrical apparatus within the Commercial Centre.

     

    8.1.4. Visitors to the Commercial Center are prohibited from making noise (including carrying and placing music equipment and loudspeakers).

    8.2. Strong and/or unpleasant odors

    The Lessees shall ensure all necessary action is taken, including by providing adequate ventilation, in order to prevent all strong and/or unpleasant odours arising in connection with their operation of their respective Leased Premises from pervading in the Common Areas and Parts or the premises of other Lessees. In case of violation of this provision the Center Manager is entitled to give mandatory instructions to the Lessee in default to undertake specific measures for curing the consequences of such breach.

     

    8.3. Waste and Litter

    8.3.1. Waste and litter shall be carried and placed to the areas/containers especially designed for this use in appropriate receptacles, on a daily basis before the commencement of operation of the Commercial Centre and one hour after its termination. Litter shall be carried only in special closed waste containers which prevent the accumulated water from dropping on the floor via the common corridors of the Commercial Centre. When carrying the litter to the dedicated places, the Lessees, as well as the customers of the Commercial Center, bear responsibility not to cause harm or damage to the walls, floors and/or the façade of the Commercial Center, whereby if such harms/damages occur the costs for the repair shall be borne totally by the Lessee/customer, who caused them.

     

    8.3.2. It is prohibited to store litter within Leased Premises, or Common Areas and Parts or to burn litter.

    8.3.3. The Lessees and the customers shall not undertake or permit any act or omission whereby the sewers and sanitary drainage pipes of the Commercial Centre are blocked or damaged by the pouring of products or objects that may prevent the free flow of drainage.

     

    8.3.4. The Lessees are forbidden and the customers to release into the drainage network solid waste and toxic effluents, (such as acids, solvents, paints or film, developing liquids) produced or used in the carrying out of their activity. Wet refuse from restaurants or other Leased Premises must be packed in a watertight manner.

     

    8.3.5. Waste and litter must be disposed separately as follows: bio-waste and litter are disposed of only in refrigerators and industrial waste and litter (metal, plastic, corrugated cardboard, paper and glass) only in containers, duly marked for collection of the specific type of litter  (i.e. “Beaver”). This obligation applies to Lessee as well as to customers.

     

    8.4. Inflammable and dangerous substances

    8.4.1. It is forbidden to store explosive, dangerous or unhealthy products and/or materials in the Leased Premises.

     

    8.4.2. If the storage of nominally inflammable goods is necessary for the agreed function of a specific Commercial Facility, the prior written consent of the Center Manager or of its insurers as well as that of any competent governmental or regulatory authority must be first applied for and obtained and produced to the Center Manager. The interested Lessee shall be liable to indemnify the Center Manager and/or the persons responsible for payment of the relevant insurance of the Commercial Centre for any additional insurance costs incurred in connection with the above.

     

    8.5. Hygiene

    8.5.1.      The Lessees undertake to maintain the Leased Premises in a clean and hygienic working condition. The Lessees must also protect the Leased Premises from rodents, insects, vermin and other pests, as well as from any molds, odors and leaks, incl. by entering into relevant contracts with professional pest control and disinfection companies. The Center Manager reserves the right to conclude contracts with specialised firm/firms for the purpose of disinfecting and (where appropriate) exterminate from rodents, insects, vermin and other pests as well as any other contracts necessary for ensuring the hygiene of the Common Areas and Parts of the Commercial Centre, where the costs for these activities shall be borne by all Lessees through the Service Charge. The Lessor may carry out the activities under the previous sentence also in the Leased Premises, in which case all costs will be re-invoiced to the Tenants.

     

     

    8.6. Protection of the internal order

    8.6.1. Pets are not allowed in the Common Areas and Parts (with the exception of animals for special needs, (e.g. guide dogs), unless they are brought by their owners permanently during their stay on the territory of the Commercial Center. The pet owner shall be liable for any accident or damage provoked by the pets.

     

    8.6.2. It is prohibited to enter and move around the territory of the Commercial Center with wheeled devices (bicycles, scooters, skateboards, skates, rollerblades, etc.), with the exception of baby carriages, carriages that assist the movement of visitors with mobility impairments and dog carriages. The prohibition applies regardless of whether the same wheeled vehicles are in motion and/or pushed by the owner/user of the bicycle. In case of violation of this prohibition, the owner / user is responsible for any incident or damage that may be caused.

     

    8.6.3. No alcohol intake or use of tobacco products (including smoking of electronic cigarettes) is allowed outside the zones, especially designated for these purposes. This applies to all persons who reside on the territory of the Commercial Center, regardless of their capacity.

     

    8.6.4. Use of narcotic substances and intoxicants, as well as their analogues on the territory of the Shopping Center is prohibited. This applies to all persons who reside on the territory of the Commercial Center, regardless of their capacity. Visitors in a state visibly consistent with the use of alcohol or drugs are not allowed in the Commercial Center.

     

    8.6.5. People carrying weapons, including cold ones, as well as flammable, explosive, toxic, suffocating, tear gas or radioactive substances are not allowed on the territory of the Commercial Center. The Center Manager and, following his instructions, the security guards, may at their discretion forbid the entrance to persons the presence of whom may prejudice the security, smooth operation, reputation and business interests of the Leased Premises operating in the Commercial Centre.

     

    8.6.6. Visitors wearing helmets, sports masks, bonnets or the like, which fully or partially cover the face, are not allowed in the Commercial Center, except for medical masks.

     

    8.6.7. It is forbidden to leave suitcases and large luggage unattended on the territory of the Commercial Center.

     

    8.6.8. It is forbidden to carry out actions that are of a nature to harm the life or health of other visitors or the employees of the Commercial Center, as well as actions that are aimed at damaging or destroying other people's property. It is prohibited to carry out actions representing petty hooliganism within the meaning of Art. 1, para. 3 of Decree No. 904 of 28.12.1963 on combating petty hooliganism, including any indecent behavior expressed in the use of profanity, swearing or other indecent expressions, offensive attitude and behavior, quarreling, fighting or other similar actions that disturb the order in the Commercial Center and the tranquility of the other visitors or the employees of the Commercial Center. Vandalism, acts with a sexual context, acts directed against an individual's race, gender, sexual orientation, religion and ethnicity are prohibited.

     

    8.6.9. It is forbidden to move by running, sitting in places other than those designated for this, e.g. on the stairs and escalators, on the fountains and pots, on the floor of the passages, in the elevators and toilets.

     

    8.6.10. Unreasonable use of seating in dining areas is prohibited.

     

    8.6.11. Unreasonable use of special purpose areas is prohibited, including emergency stairs, emergency exits, technical and storage rooms, loading ramps, etc.

     

     

    8.6.12. The Commercial Center is neutral with regard to any political and religious topics, therefore it is forbidden to organize and hold protests, petitions, strikes and other group events, including those with a religious and political orientation, on the territory of the Commercial Center.

     

    8.6.13. Photography (except for personal use), video recording, dance performances and other performances are prohibited on the territory of the Commercial Center, except with the prior written consent of the Center Manager.

     

    8.6.14. Any other actions that are in conflict with the Bulgarian law, with the norms of ethics and morality or with the spirit of these Internal Regulations are prohibited.

     

    8.7. Individual means of protection

    8.7.1. Individual means of protection within the meaning of Bulgarian legislation are:

     

    - means for protection of the respiratory organs - filtering and isolating gas masks, children's gas masks, children's protective chambers, respirators and dust masks.

    - skin protection products – protective gloves, protective socks, protective aprons, protective clothing.

    - specialized filters for hazardous chemical and radioactive substances.

    - means for iodine prophylaxis.

    - other personal protective equipment designed to protect the respiratory system, eyes and skin from hazardous chemical or radioactive substances or biological agents.

     

    8.7.2. Individual means for protection are created, stored, updated, maintained, provided and reported by the Lessees to the benefit of their employees.

     

     

    ARTICLE 9
    RADIO TV ANTENNAS AND CABLES

     

    9.1. It is prohibited to the Lessees to install cable, radio or TV antennas without the prior approval of the Lessor or the Center Manager, which may not be unreasonably withheld.

     

    9.2. The Center Manager is entitled to install a central antenna. In such a case, he will have connections installed leading to the different Leased Premises at the expense of the Lessees. If the Lessees wish to use the central antenna, they shall pay a monthly fee to the Center Manager corresponding to depreciation costs, maintenance costs and all other related costs. The above fee shall be calculated by the Center Manager.

     

    9.3. In addition, the Center Manager may at his discretion secure a cable TV connection, on condition that the services of such an organization are equal to the services of a central antenna.

     

     

    ARTICLE 10
    AIR-CONDITIONING

     

    10.1. Every area of the Commercial Centre shall be equipped with air-conditioning. The thermostats installed in every store or area shall be adjusted according to the instructions of the Center Manager and the relevant provisions of the law (if any) regarding public spaces. The Lessees undertake that the air-conditioning units of each Commercial Facility shall operate constantly, without interruption,during its opening hours.

     

    10.2. The Lessees shall grant access to the personnel authorised by the Center Manager with regard to the inspection of the operation of the air-conditioning installations.

     

    ARTICLE 11
    SAFETY REQUIREMENTS

     

    11.1. In case of an accident involving persons or property the Lessees in the immediate vicinity and their employees, as well as all customers who witnessed the accident, must immediately notify the security of the Commercial Center, the Center Manager and the competent authorities and, if appropriate, call for an ambulance. Schedule 2 to this Internal Regulations contain Scheme for announcement in the event of Acts of God and accidents, which all tenants are obliged to monitor.

     

    11.2. The Lessees shall notify the security of the Commercial Center, the Center Manager and the competent authorities of any case of theft or other criminal activity within their Leased Premises.

     

    11.3. The Lessees shall apply the provisions of legislation in force in regard with the fire safety and fire protection as well as having a fire record prepared. The fire protection equipment used by each Commercial Facility must be preserved in a good condition by the carrying out of the relevant maintenance and service at the expense of the respective Lessees as well as be periodically serviced according to the current regulatory requirements. The Lessees shall grant access to the Center Manager and/or personnel authorised by him to their respective Leased Premises for the inspection of the fire-extinguishing equipment (sprinklers) and smoke detectors. The escape routes and emergency exits must always remain free and clear of impeding objects and be kept fully clean.  In order to avoid fire conditions, the Commercial Center’s electrical network connection point board, as well as the site’s electrical distribution board, must be kept clean and always freely accessible. It is forbidden to embed them in furniture and/or to install them in inaccessible places. The placement of goods, packaging, etc. is prohibited. easily flammable objects in their immediate vicinity. In case of a fire, the Lessees affected or in the vicinity must immediately call the fire brigade and then the Center Manager. The Lessor has the right to impose the sanction under Art. 17 to any person who has not complied with this requirement.

     

    11.4. If in extraordinary circumstances (e.g. urgent repair works) Lessees wish to disengage the automatic fire extinguisher and/or fire alarm system they must previously notify the Center Manager and obtain his written permission. If, as a result of this disengagement, additional insurance premiums or other expenses have to be paid, these shall be borne by the Lessees requesting the disengagement. The disengagement shall only be for a limited period, which shall be approved in advance by the Center Manager. If an extension of such period is requested, a new approval of the Center Manager shall be needed.

     

    11.5. If a sprinkler-spray head is activated by accident, the affected Lessee must notify the Center Manager. The above provisions do not exempt the Lessees from adopting all other reasonable security measures as required by these Internal Regulations and by the terms of any related insurance contracts. Any losses caused in the affected Commercial Facility or in other Leased Premises or in the Common Areas and Parts of the Commercial Centre due to this happening shall be borne by the Lessee in whose area the incident occurred.

     

    11.6. Security exits and evacuation corridors must always remain free and clear of impeding objects. With regard to emergency exits, exit in the direction of evacuation must always be ensured. Security exit signs must be clearly visible from all Leased Premises according to the legislation in force. In addition, special signs with instructions in case of fire must be placed in prominent points of the Commercial Centre, according to the legislation in force. Similarly, the gates and the security exit corridors of the Leased Premises, the Common Areas and Parts of the Commercial Centre must be always open and accessible during the Opening Hours.

    11.7. The Lessees shall grant access to the Center Manager and his employees and contractors to their respective Leased Premises for the purposes of inspection, repair or maintenance of electrical installations passing therefrom. In case of emergency or force majeure the Center Manager or the security guards of the Commercial Centre may enter individual Leased Premises at any time and in any manner whatsoever. Otherwise, and if this is necessary, the Center Manager may enter such Leased Premises with the assistance of a locksmith, without further formalities other than the notification of the Lessees as soon as possible.

     

     

    ARTICLE 12

    INSTRUCTIONS AND PROHIBITIONS WHEN USING ESCALLATORS AND

    TRAVELATORS (MOVING WALKWAYS) AND ELEVATORS

     

    12.1. All persons who reside on the territory of the Commercial Center, regardless of their capacity shall ride on escalators аnd travellators always facing the direction of travel.

     

    12.2. Adherence with hand use only handle / moving belt /. It is forbidden leans with whole body on the handles of the facilities.

     

    12.3. It is forbidden for visitors to the Commercial Center to go beyond the limit line of the feet. It is forbidden running on the facilities.

     

    12.4. It is forbidden to a traveling passenger to rest in fixed parts of the facility.

     

    12.5. Children must be kept on hand or hands in moving in equipment. It is forbidden the use of the escalator/ travellator of unaccompanied children. It is prohibited to use the escalators/travellers with prams, wheelchairs and dog strollers.

     

    12.6. It is forbidden the movement through the escalator/ travellator set against its direction of movement, as well as movement and jumping on the railing.

     

    12.7. It is forbidden to use the elevators by more than the indicated number of visitors. It is prohibited to use the elevators in case of fire or evacuation.

     

     

    ARTICLE 13
    APPOINTMENT OF SECURITY SERVICE

     

    13.1. For purposes related to the security of the Common Areas and Parts including the parking spaces, the Center Manager is entitled, within the limits of the budget for the Service Charge, to engage security guards, the number of which may be reduced or increased depending on the needs of the Commercial Centre.

    13.2. It shall be the security guards’ responsibility:

    13.2.1. to carry out security regime and take actions for physical protection of the property of the Commercial Center, using mobile or stationary security patrols;

     

    13.2.2. When carrying out their activity, the manager and the private security employees shall carry their company identification card with a photo, insignia and uniform, by a sample according to art. 55 of of the Private Security Business Act;

     

    13.2.3. To guard and supervise the Commercial Centre and to report to the Center Manager any facts or events that may disturb the Commercial Centre’s normal course of business or cause damage to the premises or jeopardize the security of the persons within the Commercial Centre and inform the Lessees of the same where they affect or relate to the respective units; to provide any information timely about an illegal act or violation of public order on the territory of the Commercial Center that has been committed, is being performed or is being prepared for commission;

     

    13.2.4. To open and close the Commercial Centre in compliance with the Opening Hours.

     

    13.2.5. To intervene or ask for the intervention of the authorities whenever required or appropriate in order to deal with any situation. When a violation of the established access regime or of these Internal Regulations is established, the security guard shall immediately notify his/her supervisor and shall record the violation in the logbook for acceptance and handover of the duty officer. In case of evidence of a crime, the guards immediately notify the police authorities and take all measures to stop, prevent the act and apprehension of the perpetrators until the arrival of the police authorities;

     

    13.2.6. To carry out round-the-clock control and access regime of employees, visitors, incl. with motor vehicles on the territory of the Commercial Center through the specially designated entrances and exits and to ensure the observance of the established access regime for the Commercial Center and the internal order in it, including through:

     

    13.2.6.1. verification of the identity documents of visitors and employees if necessary;

     

    13.2.6.2. inspection of luggage, when necessary to establish complicity in theft from commercial sites, motor vehicles and / or their cargo, as well as their accompanying documents, in case of suspicion of theft or other illegal act;

     

    13.2.6.3. Security guards check signals received from units equipped with technical security systems and included in centralized and local monitoring and control systems, and the check is performed by mobile security patrols.

     

    13.2.7. To carry out security regime with the help of technical devices, such as security alarm and security systems, video surveillance systems and access control.

     

    13.3. In the performance of their duties, security guards shall:

    13.3.1. Use impeccable manners in such a way as not to allow damage to the honor and dignity of the Lessees, their employees and to the customers/ visitors of the Commercial Centre.

    13.3.2. Comply fully with their obligations and observe and comply with all legal rules and regulations applicable for their activity.

    13.3.3. Strictly perform the tasks and duties assigned to them by the Center Manager;

     

    13.3.4. in the event of a violation of these Internal Regulations, the employees of the company entrusted with the performance of security activities have the right to check the identity document of the offender and remove him from the Commercial Centre. The company entrusted with the performance of security activities has the right not to allow on the territory of the Commercial Centre persons for whom there is evidence that they systematically violate these Internal Regulations. It is forbidden to stay on the territory of the Commercial Centre for a visitor who has been invited by the Commercial Centre or the security to leave the Commercial Centre:

     

    13.3.5. in the event of a crime being committed on the territory of the Commercial Centre, as well as when a visitor creates a danger to the life or health of persons on the territory of the Commercial Centre or damages the protected property, the security team has the right to detain the corresponding visitor, who is caught in the act of the act until it is handed over to the police authorities.

    13.4. Maintaining security in the Leased Premises is entirely the responsibility of the Lessees. The Lessees are entitled to engage their own safety guards for their premises, since the security guards of the Commercial Centre do not bear responsibility for prevention of thefts and other violations against the goods and equipment of the Lessees within the Leased Premises, but only for provision of security to the public in the Common Areas and Parts. The safety guards of the Lessees should collaborate closely with the safety guards of the Commercial Centre who are engaged by the Center Manager.

     

    13.4.1. The Lessees who use their own security to protect their property should announce this circumstance in writing to the following security of the Commercial Centre and the Center Manager in order to coordinate the actions of the guards.

     

    13.5. For the security of visitors and to protect the property of the Commercial Centre, the latter is monitored by a system of security cameras.

     

     

    ARTICLE 14
    TEMPORARY CLOSURE

     

    14.1. In case of emergency (fights, riots, civil commotions, severe technical disturbances beyond the control of the Center Manager) or for security reasons during the daily opening hours, the Center Manager may decide to temporarily close the Commercial Centre, in which case he must notify the Lessees in order to enable them to take all appropriate measures for the protection of their properties.

     

    14.2. In addition, the Center Manager may decide to temporarily close the Commercial Centre or part of it when there is a need for repair and maintenance works, in case such works are significant and cannot objectively be implemented safely without interrupting the operation of the Commercial Centre. In such a case, all Lessees shall be duly before the commencement of the works, unless when it is absolutely necessary to conduct immediate maintenance works.

     

    14.3. In case the Lessee, his employee or visitor receives data or finds signs of threat to the life and health of visitors and / or employees of the Commercial Center, including by improvised explosive device undertakes to pass the information to the competent authorities (at telephone 112) and to the security of the Commercial Center. Avoiding any independent actions and following the instructions / orders of the security/competent authorities is mandatory.

     

    14.4. In the event of a Force Majeure Event, the security guards on duty follow the instructions for action in emergency situations under the control of the Center Manager. If an evacuation is required, the Evacuation Plan is implemented. An emergency training evacuation is carried out at least twice a year

     

    ARTICLE 15

    PARKING

     

    15.1. The Center Manager is entitled to give mandatory instructions regarding the access roads to the parking areas and the internal order for usage of the underground and the open-air parking of the Commercial Centre, as well as to determine the opening hours of the parking.

     

    15.2. The visitors of the Commercial Centre will be allowed to use the parking free of charge for any period determined as the effective Parking Rules, which are available at the website of the Commercial Center. Entering the parking lot constitutes the tacit consent of the customer to the application of the provisions of the Parking Rules. The period of free usage may be prolonged with respect to the customers of specific Leased Premises (such as the cinema) on the grounds of a written agreement between the Lessor and the respective Lessees. Upon expiry of the period of free usage the visitors of the Commercial Centre shall pay parking fee, determined by the Center Manager.

     

    15.3. The Lessees and their employees may use the parking spaces at the same conditions they are used by the visitors of the Commercial Centre (i.e., against payment of fee for the use of the parking).

     

    15.4. The parking shall be kept clean and lighted during its operational hours. The costs for maintenance of the parking shall be allocated to the Lessees through the Service Charge.

     

    15.5. The Center Manager undertakes to create the necessary organization so that the Parking Rules are published on the website of the Commercial Centre and installed in previously designated places for this purpose.

     

    ARTICLE 16

    PUBLICITY

     

     

    16.1. The distribution of brochures, leaflets or other publicity material in the Commercial Centre is not allowed unless explicitly authorised by the Center Manager or a person explicitly authorised thereto.

     

    16.2. The deposition of brochures, leaflets or other publicity material on vehicles parked in the parking area of the Commercial Centre is not allowed.

     

    16.3. It is prohibited to place posters on the window displays in the Common Areas and Parts of the Commercial Center without the explicit consent of the Center Manager. In the event of violation of the above provision, the Center Manager is entitled to remove the relevant posters. This prohibition does not apply to the cinema operator. 

     

    16.4. The Lessees are not authorised to advertise brands and/or commercial activity, different than the ones agreed in the lease agreements in the Leased Premises and the Common Areas and Parts.

     

    ARTICLE 17

    BREACHES AND LIABILITIES

     

    17.1.     In case of breaches of these Internal Regulations, the Center Manager (incl. through persons explicitly authorized by him) is entitled to give mandatory instructions to the Lessee/customer who committed the breach, to undertake specific measures for curing the consequences of such breach. In case of non-fulfillment of the instructions and non-termination of the breach within the term provided by the Center Manager, the Lessor or a person authorized by him, the Lessee/customer and a representative of the security company shall sign a protocol evidencing the breach. In the event that the Lessee/customer refuses to sign the protocol, the later shall be sign by the Lessor or a person authorized by him, a representative of the security company as well as one witness. Following the signing of the protocol evidencing the breach,  the Lessor has the right to invoice to the Lessee/customer a penalty in the following amounts:

    (i) EUR 100 (one hundred) without VAT for each first established breach;

     

    (ii) EUR 150 (one hundred and fifty) without VAT for each subsequent established breach of the same obligation;

     

    (iii) EUR 150 (one hundred and fifty) without VAT/per day for non-compliance with of the Opening Hours of the Shopping Center whereby the deviation is more than 30 minutes/day.

     

    17.2. The penalty, according to Art. 17.1., is due and payable by the Lessee/visitor within 5 (five) days from the issuance of the invoice by the Lessor, after a signed protocol stating the violation.

     

    17.3. For the amounts due in EUR the invoices will be issued and paid in BGN calculated on the basis of the BGN / EUR fixed exchange rate determined in the Law on Bulgarian National Bank, published at the web site of the Bulgarian National Bank. 

    17.4. All amounts are exclusive of VAT. The tenant undertakes to pay the applicable VAT in accordance with the legal provisions.

    ARTICLE 18

    GENERAL TERMS  

    18.1. Upon entering the territory of the Commercial Center, visitors agree and undertake to comply with these Internal Regulations.

    18.2. Exceptions to the Internal Regulations are allowed only after the express written consent or approval of the Center Manager.

    18.3. The regulations can be unilaterally amended or supplemented at any time by the Center Manager.

    18.4. Appendix 1 (SUSTAINABILITY) is an integral part of these Internal Regulations.

    18.5. These Internal Regulations are prepared in Bulgarian and English. In case of contradiction between the two language versions, the Bulgarian version shall prevail.
